These Terms and Conditions disclose the terms and conditions practices for kobonaijahub.com (the "Website", "Us", or "Company”).
You agree to be bound by each and every term and condition stated herein, which represent a legally binding contract between You and Us, by accessing, using, registering or placing an order at this Website. You hereby state and affirm that you have read, understood, and agree with all of the following Terms and Conditions of Use, and our Privacy Policy (collectively, the "Agreement"). Therefore, please take the time to read this Agreement in full.
It details Kobo Naija Hub’s obligations to you. It also highlights certain risks on using the services and you must consider such risks carefully as you will be bound by the provision of this Agreement through your use of this website or any of our services.
If you do not agree to the terms and conditions of this Agreement, please do not use this Website or order products from Us. We will change the "Last Updated" date above to reflect changes to this Agreement. It is your sole responsibility to review this Agreement for changes prior to Use of the Website.
1. General
We reserve the right to discontinue or alter any products or services offered by or through this Website or to change or amend this Agreement at any time. Such changes, alterations, amendments or discontinuances shall be effective immediately without further notice thereof.
2. Age Restriction
Our website and services are not directed to children under 18. We do not knowingly transact or provide any services to children under 18. Be sure that you are at least the age of 18 before using our services.
3. Contents of Profile
The information used to build your profile will be all or some of the information that you supplied when you completed the registration. This will include all your display products. In addition to this, any more information that you supply when you update your profile shall also constitute part of your profile. This means that you are solely responsible for the creation of your own profile. You will therefore be responsible for any and all liabilities, and legal contentions arising from the contents of your profile.
4. Corporate Affairs Commission of Nigeria verification
We may seek to verify your CAC registration information (by ourselves or through third parties), after which we will mark your business as registered with the Corporate Affairs Commission of Nigeria unless deemed risky. You give us permission to do all these.
5. Tax
Kobo Naija Hub will advise that you register your business with the Corporate Affairs Commission of Nigeria. Whether your business is registered or in the process of registration it is your responsibility to be up to date on your income tax regarding the sales of your products through kobonaijahub.com. It is your responsibility to pay your tax as a business.
6. Order Processing And Shipping Times
The buyers can contact you directly. Orders made to you will be processed and shipped by you within 72 hours (3 business days) from the date of order. Normal operating business hours are deemed to be Monday through Friday from 9am to 5pm (excluding holidays). For any products which are not in stock at the time of buyer's order, shipment will be processed by you immediately upon receipt of the product. Shipping times will vary depending upon the selected shipping option.
It is optional for the buyer to decide to contact Kobo Naija Hub to act on their behalf until the product is delivered to them. In this case the buyer pays the original cost of the product (plus a little additional charge of either N50 or N25 to cover bank charges) to Kobo Naija Hub. The money will be held by Kobo Naija Hub until there is a confirmation of delivery by the buyer (the delivery confirmation will be your arrangement agreed on by all parties; you, the buyer, and Kobo Naija Hub). Once there is a confirmation of delivery the complete money will be released to you within 24 hours.
7. Disputes
If you believe that an unauthorized or otherwise problematic transaction has taken place, you agree to notify us immediately, to enable us take action to help prevent financial loss. All claims against us related to payments should be made within 7 (seven) days after the date of such payment. It will be taken that you waive all claims against us, to the fullest extent of the law after the said period of time.If you enter into a transaction with a third party and have a dispute over the goods or services that was purchased, we have no liability for such goods or services. Our only involvement with regard to such transaction is linking businesses, and buyers and sellers.We may intervene in disputes between users and merchants concerning payments but have no obligation to do so. Your business email, business name, and transaction details will be required to resolve all disputes
8. Publicity
You hereby grant Kobo Naija Hub permissions to use your name and logo in our marketing materials including, but not limited to use on our website, in customer listings, in interviews and in press releases. Such Publicity does not imply an endorsement for your products and services.
9. Dealings With Customers
You agree that, you are solely responsible for verifying the identities of your customers, ensuring that they are authorised to carry out the transactions, and determining their eligibility to purchase your products and services. You are also required to maintain information and proof of service or product delivery to your customers. Where a dispute occurs needing resolution, you may be required to provide Kobo Naija Hub with these.
10. Business Categories
You may not use Kobo Naija Hub to advertise, display, buy or sell any product, service, transaction or activity that:
- falls within the Prohibition List of the Nigerian Customs Administration of the Federal Republic of Nigeria
- relates to the sale and/or purchase of the following:
1. banned narcotics, steroids, certain controlled substances or other products that present a risk to consumer's safety
2. blood, bodily fluids or body parts
3. burglary tools
4. counterfeit items
5. illegal drugs and drug paraphernalia
6. fireworks, destructive devices and explosives
7. identity documents, government documents, personal financial records or personal information (in any form, including mailing lists)
8. lottery tickets, sweepstakes entries or slot machines without the required license
9. offensive material or hate speech or items that promote hate, violence, racial intolerance, or the financial exploitation of a crime
10. police badges or uniforms
11. chemicals
12. recalled items
13. prohibited services
14. unlicensed financial services, stocks or other securities
15. stolen property
16. items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the laws of any jurisdiction
17. sales of currency without BDC license, certain cryptocurrency operators
18. obscene material or pornography
19. certain sexually oriented materials or services
20. certain firearms, firearm parts or accessories, ammunition, weapons or knives; or
21. any product or service that is illegal or marketed or sold in such a way as to create liability to Kobo Naija Hub
- Issues that relate to transactions that:
1. show the personal information of third parties in violation of applicable law
2. support pyramid or ponzi schemes, matrix programs, other "get rich quick" schemes or certain multi-level marketing programs
3. are associated with purchases of annuities or lottery contracts, lay-away systems, off-shore banking or transactions to finance or refinance debts funded by a credit card
4. pertain to ammunitions and arms; and
5. involve gambling, gaming and/or any other activity with an entry fee and a prize, including, but not limited to casino games, sports betting, horse or greyhound racing, lottery tickets, other ventures that facilitate gambling, games of skill (whether or not it is legally defined as a lottery) and sweepstakes unless the operator has obtained prior approval and customers are located exclusively in jurisdictions where such activities are permitted by law
If any of these is noticed by Kobo Naija Hub, your profile will be promptly deleted without refund of any registration fee paid.
11. Termination
You may terminate this Agreement by closing your Kobo Naija Hub Account. This you can do by sending us an email at Account Termination.
We may suspend your Kobo Naija Hub Account and your access to Kobo Naija Hub services, or terminate this Agreement for the following reasons;
- you do not comply with any of the provisions of this Agreement
- we are required to do so by a Law or
- where a suspicious or fraudulent transaction occurs
- any other conduct designed to injure, disrupt, or harass this Website or the Company's business operations
12. Disclaimer
We try to keep Kobo Naija Hub available at all times, bug-free and safe. Although, we cannot guarantee that unauthorised third parties will never be able to defeat those measures or use such personal information for improper purposes. We will however take all reasonable and commercially achievable measures to address any security breach as soon as we become aware.
Our website and services are provided “as is” without any express, implied and/or statutory warranties (including, but not limited to, any implied or statutory warranties of merchantability, fitness for a particular use or purpose, title, and non-infringement of intellectual property rights). without limiting the generality of the foregoing, Kobo Naija Hub makes no warranty that our website and services will meet your requirements or that our website will be uninterrupted, timely, secure, or error free. No advice or information, whether oral or written, obtained by you through our website or from Kobo Naija Hub, subsidiaries, or other affiliated companies, or agents of any such entities) (collectively, "Kobo Naija Hub parties") shall create any warranty.

14. Your Representations
You have full power and authority to enter into, execute, deliver and perform this Agreement. You are duly organised, authorised and in good standing under the laws of the Federal Republic of Nigeria and any state within and are duly authorised to do business in all other states, regions of the country.
You represent that you are at least 18 years of age. You represent that the information provided by you when registering is up-to-date, materially accurate, and sufficient for us to fulfill your registration. You are responsible for maintaining and promptly updating your account information with us and keeping such information (and any passwords given to you for the purposes of accessing the Website) secure against unauthorized access.
15. Our Representations
It is our Company mission to provide our customers with the very best services that we offer. We want all customers to have the most accurate information concerning all profiles and displayed products. The information you communicate to them about a product and/or its efficacy should be obtained from manufacturers, independent third parties such as educational institutions, scientific news articles and agencies, scientific reports and researchers ("Information Sources"). We do not represent or warrant that any Information Source is error free, nor do we warrant any Information Source nor the methods that they use to arrive at their conclusions. In the case of sending notices to you, Company will use the email address you provided to Company when you registered. Such notices or communications (where properly addressed) shall be considered received on the earliest of (i) the email being acknowledged by the recipient as received; (ii) receipt by the sender of an automated message indicating successful delivery or the email having been opened; or (iii) the expiry of forty-eight (48) hours after transmission, provided that the sender has not received notification of unsuccessful transmission.
17. Indemnification
You agree to defend, indemnify, and hold harmless Company, its officers, directors, managers, members, employees, shareholders, independent contractors, telecommunication providers, webhost, and agents, from and against any and all claims, actions, losses, liabilities, expenses, costs, or demands, including without limitation, legal and accounting fees, for all damages directly, indirectly, and/ or consequentially resulting or allegedly resulting from your misuse of the Website, or your breach of any of these terms and conditions of this Agreement. We shall promptly notify you by electronic mail of any such claim or suit, and cooperate fully (at your expense) in the defense of such claim or suit. If we do not hear from you promptly, we reserve the right to defend such claim or suit and seek full compensation from you.
18. Fraud
We reserve the right, but undertake no obligation, to actively report and prosecute actual and suspected fraud. We reserve the right to cancel, delay, or refuse any registration/registered account if fraud is suspected. We capture certain information during the registration and order process, including time, date, IP address, and other information that will be used to locate and identify individuals committing fraud. If any profile is suspected to be fraudulent, we reserve the right, but undertake no obligation, to submit all records, with or without a subpoena, to all law enforcement agencies for fraud investigation. We reserve the right to cooperate with authorities to prosecute offenders to the fullest extent of the law.
19. Intellectual Property Rights
The Website, its content and compilation of content is owned by Company or its agents or affiliates and is protected by the Copyright Act of the Federal Republic of Nigeria. All content, logos, icons and designs, unless noted otherwise, are proprietary to Company or its agents or affiliates. The materials provided in this service, including graphic images, buttons, and text, may not be copied, republished, reproduced, uploaded, transmitted, posted, or distributed in any way, without the prior written permission, except that you may download, display, or print one copy of the materials on a single computer solely for your personal, non-commercial, home use, provided that you keep intact all trademark, copyright, and other proprietary notices. Modification of the materials or use of the materials for any other purpose is a violation of Company, its affiliates' or its third-party information providers' copyrights and other proprietary rights.
17. Miscellaneous
Choice of Law/Venue/Dispute Resolution: This Agreement is governed by and construed under the laws of the Federal Republic of Nigeria. The high courts of Abuja have exclusive jurisdiction to adjudicate any non-arbitrable matter arising out of this Agreement. Any dispute arising under or relating to the Website, or this Agreement shall be first submitted to non-binding mediation at the high courts in Abuja before a mutually agreed upon mediator. If the parties cannot agree upon a mediator, either party may petition the court for appointment of a mediator. If mediation fails to resolve the dispute, it shall be decided by arbitration at the high courts in Abuja before a mutually agreed upon arbitrator. If the parties cannot agree upon an arbitrator, either party may petition the court for appointment of an arbitrator. Claims subject to this mandatory arbitration clause cannot be asserted through a class action or analogous group arbitration action.
- Severability: If for any reason a court of competent jurisdiction or an arbitrator finds any provision of this Agreement, or any portion thereof, to be unenforceable, that provision will be enforced to the maximum extent permissible and the remainder of these Terms and Conditions of Use will continue in full force and effect.
- Assignment: This Agreement and the rights and liabilities of the parties hereto inure to the benefit of their respective successors and assigns. Company may assign this Agreement to any successor entity. Customer may not assign without the written permission of Company.
- Attorneys' Fees: In the event any Party shall commence any claims, actions, formal legal action, or arbitration to interpret and/or enforce the terms and conditions of this Agreement, or relating in any way to this Agreement, including without limitation asserted breaches of representations and warranties, the prevailing party in any such action or proceeding shall be entitled to recover, in addition to all other available relief, its reasonable attorney's fees and costs incurred in connection therewith, including attorneys' fees incurred on appeal.
- No Waiver: No waiver of or by Company shall be deemed a waiver of any subsequent default of the same provision of this Agreement.
-Headings: All headings are solely for the convenience of reference and shall not affect the meaning, construction or effect of this Agreement.
- Modifications: Company reserves the right to change any of the provisions posted herein and you agree to review the date of last revision of these terms and conditions each time you visit the Website. Your continued use of the Website following the posting of any changes to these terms and conditions constitutes your acceptance of such changes. Company does not and will not assume any obligation to provide you with notice of any change to this document and you acknowledge and agree to the same. Unless accepted by Company in writing, you may not amend these terms and conditions in any way.
- Entire Agreement: This Agreement (which incorporates by reference Company’s Privacy Policy) constitutes the entire agreement between the parties with respect to your access and use of the Website and your registering your business, and supersedes and replaces all prior understandings or agreements, written or oral, regarding such subject matters.
